Terms of Service for ELV Base

These Terms of Service ("Terms") govern your access to and use of the ELV Base website, software, and related services (the "Services"). By using ELV Base, you agree to these Terms. If you do not agree, do not use the Services.
1. Service Provider

2. Eligibility
ELV Base is for business and professional users. You must be at least 18 and have authority to act for your organization. You agree to provide accurate registration and billing information.
3. Description of Services & Professional Use
ELV Base is a workflow and operational management platform for ELV projects—device tracking, commissioning status, collaboration, and handover reporting. ELV Base does not replace professional engineering judgment, commissioning procedures, safety validation, regulatory compliance, or your own project management responsibilities. You remain solely responsible for technical verification, commissioning accuracy, site decisions, and operational execution on every project.
4. Accounts
You are responsible for credentials and activity under your account, including invited users. Notify us promptly of unauthorized access.
5. Workspace Ownership & Team Access
The workspace owner controls membership and permissions. Access disputes between your users are your responsibility to resolve.
6. Acceptable Use
You may not use the Services unlawfully, attempt unauthorized access, distribute malware, scrape or reverse engineer the product except as permitted by law, infringe third-party rights, or abuse trials or billing. We may suspend accounts that violate these Terms.
7. Customer Data
You retain ownership of data you upload or create in ELV Base, including project, device, and report content. You grant us a limited license to host, process, back up, and display it solely to operate the Services. You confirm you have the rights to upload and process that data.
8. Subscriptions & Pricing
Paid features require an active subscription. Plans, limits, and pricing are published on our website and may change with reasonable notice.
9. Payments
Payments are processed by Stripe. Subscriptions renew until canceled. You agree to maintain valid billing details.
10. Taxes
You are responsible for applicable taxes unless stated otherwise. Invoices are issued via Számlázz.hu where applicable.
11. Renewals, Downgrades & Cancellation
Subscriptions auto-renew unless canceled before the renewal date. Cancellation takes effect at the end of the current billing period. Fees are generally non-refundable except where required by law.
12. Free Plans, Trials & Beta Features
We may offer free tiers, trials, or beta/experimental features with usage limits. Beta features may change, break, or be discontinued without notice. Do not rely on beta functionality for critical production workflows without independent verification.
13. Availability
We aim for reliable access but do not guarantee uninterrupted operation. Maintenance, upgrades, third-party outages, or force majeure may cause downtime.
14. Support
Support scope depends on your plan. Unless separately agreed in writing, we do not guarantee specific response times.
15. Intellectual Property
ELV Base software, branding, and documentation are owned by us or licensors. No ownership rights are transferred to you except the limited right to use the Services under these Terms.
16. Feedback
Feedback you provide may be used to improve the product without obligation to compensate you.
17. Confidentiality
You agree to treat non-public information about ELV Base as confidential and use it only for legitimate business purposes.
18. Disclaimer of Warranties
The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and uninterrupted or error-free operation.
19. Limitation of Liability
We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption. Our total liability for any claim is limited to fees you paid us in the twelve months before the event giving rise to the claim.
20. Indemnification
You agree to indemnify ELV Base against claims arising from your misuse of the Services, violation of these Terms, or content you upload, except where caused by our gross negligence or willful misconduct.
21. Suspension & Termination
We may suspend or terminate access for non-payment, Terms violations, security risk, or legal requirements. You may stop using the Services at any time.
22. Data After Termination
When your subscription ends or access is terminated, you may lose access to the platform. We do not retain your data indefinitely. Export projects, devices, and reports you need before cancellation or account closure. After a reasonable retention period, data may be deleted.
23. Governing Law
These Terms are governed by the laws of Hungary. Disputes are subject to the competent courts of Hungary unless mandatory consumer law provides otherwise.
24. Changes to Terms
We may update these Terms on https://www.elvbase.com. Continued use after the effective date constitutes acceptance of the updated Terms.
